Welcome to the website of Pritee Naikwade, a website designer and developer based in Pune, India. These Terms and Conditions govern your use of our website and services. By accessing or using our website, you agree to be bound by these Terms and Conditions.
1. Services Overview
Pritee Naikwade provides website design, development, and related digital services to small businesses, clinics, restaurants, real estate agents, and local service providers primarily in Pune and across India.
Services include but are not limited to:
- Business website design and development
- Clinic/Hospital website development
- Real estate website design
- Restaurant website development
- E-commerce website solutions
- Personal/Portfolio website creation
- Website maintenance and support
2. Project Agreement
All website design and development projects are subject to a separate project agreement that will outline:
- Project scope and deliverables
- Timeline and milestones
- Pricing and payment schedule
- Revision policy
- Ownership and rights
- Support and maintenance terms
The project agreement must be signed by both parties before work commences.
3. Payment Terms
3.1 Pricing Structure
Our pricing is transparent and typically follows these structures:
- Fixed-price projects: For projects with clearly defined requirements
- Hourly rate: For ongoing maintenance, support, or undefined scope projects
- Package pricing: For standard website packages as displayed on our pricing page
3.2 Payment Schedule
Unless otherwise specified in the project agreement, the standard payment schedule is:
- 50% upfront payment: Required before project initiation
- 25% upon design approval: After client approves the initial design mockups
- 25% upon project completion: Before final delivery and website launch
3.3 Additional Costs
Clients are responsible for third-party costs including but not limited to:
- Domain registration fees
- Web hosting charges
- Premium themes, plugins, or extensions
- Stock images, videos, or other media licenses
- SSL certificates
4. Client Responsibilities
To ensure timely project completion, clients agree to:
- Provide all necessary content (text, images, logos, etc.) in a timely manner
- Provide clear feedback and approval within agreed timeframes
- Make necessary personnel available for consultation as needed
- Adhere to the agreed payment schedule
- Ensure that all provided materials do not infringe on any copyrights or trademarks
Note: Project delays caused by client failure to provide materials or feedback in a timely manner may result in project timeline adjustments and may incur additional charges if substantial rework is required.
5. Revisions and Changes
5.1 Design Revisions
Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions beyond the agreed number will be billed at our standard hourly rate.
5.2 Scope Changes
Any significant changes to the project scope after work has commenced may require adjustments to the project timeline, deliverables, and pricing. Scope changes must be agreed upon in writing by both parties.
6. Project Timeline
Standard website projects are typically completed within 5-7 working days from the date all required materials are received from the client and the initial payment is cleared. Complex projects or projects with custom functionality may require additional time as specified in the project agreement.
Timelines are estimates and may be affected by factors including but not limited to client responsiveness, complexity of requested changes, and third-party dependencies.
7. Intellectual Property Rights
7.1 Client Materials
Clients retain ownership of all materials (logos, text, images, etc.) they provide for the project. Clients warrant that they have the right to use and distribute these materials.
7.2 Final Deliverables
Upon full payment, clients receive ownership of the final website design and code developed specifically for their project, with the following exceptions:
- Third-party components (themes, plugins, etc.) remain subject to their original licenses
- Proprietary code libraries developed by Pritee Naikwade remain the property of Pritee Naikwade
- Pritee Naikwade retains the right to display the completed work in our portfolio and marketing materials
7.3 Source Files
Source files (PSD, AI, etc.) are not automatically included in project deliverables. If source files are required, this must be specified in the project agreement and may incur additional charges.
8. Confidentiality
Pritee Naikwade agrees to keep confidential all proprietary information shared by the client during the project, except as required by law or with the client’s written permission.
9. Warranty and Support
9.1 Warranty Period
A 30-day warranty period is provided from the date of website launch. During this period, Pritee Naikwade will fix any bugs or errors in the delivered code at no additional charge.
9.2 Post-Warranty Support
After the warranty period, ongoing support and maintenance are available at our standard hourly rate or through a monthly maintenance plan as agreed upon separately.
9.3 Third-Party Components
We are not responsible for issues arising from third-party components (themes, plugins, etc.) after the warranty period, though we may assist in resolving such issues at our standard hourly rate.
10. Limitation of Liability
Pritee Naikwade’s total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
We are not liable for any indirect, special, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.
11. Termination
Either party may terminate a project with written notice if the other party breaches a material term of the agreement and fails to cure such breach within 14 days of receiving written notice.
In the event of termination by the client, Pritee Naikwade will be compensated for work completed up to the termination date at our standard hourly rate, and any upfront payments will be applied to this compensation.
12. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
13. Amendments
Pritee Naikwade reserves the right to modify these Terms and Conditions at any time. The current version will always be posted on our website. Continued use of our services after changes constitutes acceptance of the modified terms.
